Terms of Service

1. Overview

These Terms of Service ("Terms") govern your use of the services provided by NRGNR LLC ("NRGNR", "we", "us", or "our"), a software engineering studio registered in Texas, USA. By engaging our services, you agree to these Terms.

2. Services

NRGNR provides custom software development, infrastructure and DevOps engineering, AI and automation solutions, and technical advisory services. The specific scope, deliverables, and timeline for each engagement are defined in a separate Statement of Work (SOW) or project agreement.

3. Payment Terms

• Payment terms are outlined in the project agreement or SOW for each engagement.
• Payments are processed securely via Stripe. We accept major credit cards and bank transfers.
• For fixed-fee projects, payment is typically structured as 50% upfront and 50% upon completion, unless otherwise agreed.
• For time-and-material engagements, invoices are issued monthly with net-15 payment terms.
• Late payments may incur a fee of 1.5% per month on the outstanding balance.
• All prices are in USD unless otherwise specified.

4. Refund Policy

We stand behind the quality of our work. Our refund policy is as follows:

• Before work begins: If you cancel before any work has started, you will receive a full refund of any upfront payment within 10 business days.
• Work in progress: If you cancel during an active engagement, you will be billed only for work completed to date. Any unused portion of prepaid fees will be refunded within 10 business days.
• Completed milestones: Payments for completed and accepted milestones or deliverables are non-refundable.
• Disputes: If you are unsatisfied with a deliverable, we will work with you to address concerns. If we are unable to resolve the issue, a partial refund may be offered at our discretion for the disputed portion.

5. Cancellation Policy

• Either party may cancel an engagement with 14 days written notice.
• Upon cancellation, we will deliver all work completed to date and provide a final invoice for any outstanding balance.
• Cancellation does not release either party from obligations incurred prior to the cancellation date.

6. Intellectual Property

• Upon full payment, all custom code and deliverables created specifically for your project are assigned to you.
• NRGNR retains the right to use general-purpose tools, libraries, and methodologies developed independently.
• Pre-existing intellectual property of either party remains the property of the originating party.

7. Confidentiality

We treat all client information as confidential. We are happy to sign a mutual NDA before any engagement begins. We will not share your proprietary information, code, or business details with third parties without your written consent.

8. Limitation of Liability

NRGNR's total liability for any claim arising from our services shall not exceed the total fees paid by you for the specific engagement in question. We are not liable for indirect, incidental, consequential, or punitive damages.

9. Warranty

We warrant that our services will be performed in a professional and workmanlike manner. For software deliverables, we provide a 30-day warranty period after delivery during which we will fix bugs at no additional cost. This warranty does not cover issues caused by modifications made by third parties or changes to your environment.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States. Any disputes shall be resolved through good-faith negotiation, and if necessary, binding arbitration in Texas.

11. Changes to Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our services after changes constitutes acceptance of the revised Terms.
